# Terms of Service (operator-attested draft)

## 1. Agreement

By accessing withkodex / A2A-Meta related services (including
https://auditor.withkodex.com, https://slot-2.withkodex.com, and related hosts),
or by submitting an assessment / checkout, you agree to these Terms.

If you do not agree, do not use the service.

## 2. What the service is (and is not)

The service provides **tools and informational outputs**, including:

- Machine-readable discovery (`/.well-known/*`)
- Discovery audits / posture reports
- Optional paid tiers (Stripe) and metered `scan_run` when enabled

**Not legal advice.** **Not a certification body.** Trust claims only as listed in public trust-signals.

## 3. Accounts, listings, and contact data

Marketplace listings and contact emails you provide must be accurate and under your control.

## 4. Acceptable use

You will not break, overload, or abuse the service; upload unlawful content; misrepresent trust signals; or resell in violation of Stripe / marketplace terms. We may rate-limit, suspend, or terminate access for abuse or legal risk.

## 5. Customer data & evidence inputs

You retain ownership of materials you submit. You grant us a limited license to process them solely to provide the service. Personal data is handled under [PRIVACY.md](./PRIVACY.md). Enterprise customers should execute a DPA (**available on request** via hallo@withkodex.com).

## 6. Fees & Stripe

Paid plans and metered usage are billed via Stripe under `/.well-known/pricing.json` and/or checkout. Failed payments may suspend paid features.  
**Taxes:** as calculated by Stripe Tax / invoicing for your location.  
**Refunds:** failed metered invokes are not charged where the product states `failed_invokes_not_metered`; unused prepaid subscription time may be refunded at operator discretion within 14 days of first charge for new subscribers who have not consumed paid quota; otherwise Stripe dispute flow applies.

## 7. Intellectual property

We retain IP in the service and software. You retain IP in your agents, logs, and content.

## 8. Disclaimers

THE SERVICE IS PROVIDED **“AS IS”** AND **“AS AVAILABLE”** TO THE MAXIMUM EXTENT PERMITTED BY LAW.

## 9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING FROM THE SERVICE IS LIMITED TO THE FEES YOU PAID US FOR THE SERVICE IN THE **12** MONTHS BEFORE THE CLAIM (OR **EUR 100** IF NO FEES WERE PAID).

Mandatory consumer law and liability for intent / gross negligence remain unaffected.

## 10. Indemnity

You will indemnify us against claims arising from your content, misuse of outputs as legal advice, or violation of law / these Terms — to the extent enforceable.

## 11. Governing law

**Law of Germany**, excluding conflict-of-law rules.  
**Courts:** courts competent for the operator’s seat as stated in the Impressum / attestation pack; consumers may also sue in their place of residence where mandatory law so provides.

## 12. Changes

We may update these Terms by publishing a new version. Continued use after the effective date constitutes acceptance where permitted.
